BOE plans to acquire CLP Panda's 8.5-generation / 8.6-generation LCD production line

On September 23, BOE issued an announcement stating that it plans to acquire Nanjing China Electronics Panda Flat Panel Display Technology Co., Ltd. (hereinafter referred to as "Nanjing G8.5 Company") and Chengdu China Electronics Panda Display Technology Co., Ltd. (hereinafter referred to as "Chengdu G8.6 Company") part of the equity (51%).

This means that BOE plans to steer the Nanjing 8.5-generation LCD production line under CEC Panda and the 8.6-generation LCD production line in Chengdu. After the acquisition, BOE will have five 8.5-generation lines, one 8.6-generation line, and two 10.5-generation lines, ranking first in domestic production capacity.

BOE stated in the announcement that the shareholders of Nanjing CEC Panda Flat Panel Display Technology Co., Ltd. and Chengdu CEC Panda Display Technology Co., Ltd. intend to transfer part of their shares in Nanjing G8.5 Company and Chengdu G8.6 Company. The 80.831% equity of Nanjing G8.5 Company was publicly listed for transfer on September 7, with a listing price of RMB 5,591,221,400. The 51% equity of Chengdu G8.6 Company corresponds to an estimated value of RMB 6.526 billion.

BOE Technology Group Co., Ltd. intends to acquire part of the shares of Nanjing G8.5 Company at a price not lower than the listed price and part of the shares of Chengdu G8.6 Company at a price not lower than the assessed price. The above matters have been reviewed and approved at the 17th meeting of the ninth board of directors of the company, and still need to be submitted to the general meeting of shareholders for deliberation.
